Terms of Service

Introduction

These terms constitute a legal agreement between you and STRATAGENT LTD ("ConnectAI," "we," or "us"). Your use of getconnect.ai (the "Site") and the services made available on the Site, which include an agentic marketplace for pre-built AI agents for small and medium-sized businesses (the "Services"), is subject to these Terms of Service (these "Terms"). By using the Site and any of our Services, you:

• Acknowledge that you have read and understood these Terms;
• Agree to be bound by these Terms;
• Agree to our Privacy Policy; and
• Commit to comply with all applicable laws and regulations.

If you do not agree to these Terms, please do not use the Site or Services.

If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" will refer to both you and that entity.

We may revise these Terms from time to time. If we make material changes, we will notify you by email or through our Services. Your continued use of our Services after such changes constitutes acceptance of the revised Terms.

Definitions

The following terms have the meanings set forth below:

• Site: The website getconnect.ai and all related domains.
• Services: All services offered by ConnectAI through the Site, including the marketplace for AI agents.
• User: Any person who uses the Site or Services.
• Builder: A user who creates and lists AI agents on the marketplace.
• Customer: A user who hires and deploys AI agents through the marketplace.
• Agent: A pre-built AI agent available on the marketplace.

License to use our services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable license to use our Services according to your user type:

• For Business Customers ("Customers"): A license to browse, hire, deploy, and use AI agents available on the marketplace for your internal business purposes, subject to your subscription plan.
• For AI Builders ("Builders"): A license to use our platform tools to create, manage, and list your AI agents on the marketplace for hiring by Customers.

This license terminates immediately if you violate these Terms or your account is terminated for any reason.

Intellectual-property rights

All content, features, and functionality of our services are owned by ConnectAI and are protected by copyright, trademark, and other intellectual property laws.

Our Rights

We retain all rights, title, and interest in and to our Services, including:

• Our platform, technology, and infrastructure
• User interface designs and user experience elements
• All content, documentation, and materials we create
• Aggregated and anonymized usage data and analytics
• Any improvements, modifications, or enhancements to our Services

Clear Distinction of Rights

To avoid confusion, here's what each party owns:

• Customer Owns: You retain ownership of your content, data, and any custom configurations you create using our Services.
• Builder Owns: Builders retain ownership of their AI agents, templates, and any original content they create and list on our marketplace.
• ConnectAI Owns: We retain ownership of our platform, technology, and all improvements we make to our Services.

Data Usage, Training, and Learning

We collect and use different types of data to provide and improve our Services. Here's how we handle each category:

Opt-Out Rights: You can opt out of certain data processing activities by contacting us or adjusting your account settings.

User Accounts and Content

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Builders retain ownership of their AI agents and content they create and list on our marketplace.
• Customers are responsible for ensuring their use of AI agents complies with applicable laws and regulations.

Prohibited Uses

You may not use our services for any unlawful purpose or to solicit others to perform unlawful acts. The following activities are expressly prohibited:

• Reverse Engineering: You may not reverse engineer, decompile, or disassemble our services.
• Use of automated tools or bots to overload our systems or scrape data.
• Use of our services to harm, harass, or threaten other people or organizations.
• Create, distribute, or provide harmful, fraudulent, or illegal content.
• System Overload: Attempts to overload, disrupt, or damage our systems.
• Violation of export control laws or other international trade regulations.

AI-Specific Restrictions

In addition to general restrictions, the following specific rules apply to the use of our AI services:

• Generation of harmful, hateful, violent, or illegal content.
• Use for high-risk domains such as medical diagnosis, legal advice, or financial advice without appropriate human oversight.
• Extraction of proprietary information or trade secrets from third parties.
• Use of our services to train competing AI models or systems.
• Misrepresenting the outputs of our AI services as human-generated or as your own work.

AI Use Disclaimer

• Our marketplace offers AI agents from various builders, and we cannot guarantee the accuracy or quality of all agents.
• The outputs of our AI services may not always be accurate, complete, or current and should not be used as the sole source for important decisions.
• Customers are responsible for reviewing the outputs of our AI services and ensuring appropriate human oversight.
• We make no guarantees about the availability, accuracy, or suitability of our AI services for specific purposes.

Limitation of Liability

In no event shall ConnectAI be liable for any indirect, incidental, special, consequential, or punitive damages.

• We do not guarantee that our services will be error-free or uninterrupted.
• We are not liable for any injuries or damages resulting from the use of our services.
• We are not liable for issues or errors caused by third-party AI agents.
• We are not liable for copyright infringement or other intellectual property violations by users.
• We are not liable for delays or failures in projects caused by our services.
